These Terms of Service govern your access to and use of the website, software platform, applications, checkout flows, and related services provided by NewAxiom Systems Inc. ("NewAxiom," "we," "us," or "our"). By accessing or using NewAxiom, you agree to these Terms.

These Terms of Service govern your access to and use of the website, software platform, applications, checkout flows, and related services provided by NewAxiom Systems Inc. ("NewAxiom," "we," "us," or "our"). By accessing or using NewAxiom, you agree to these Terms.
2. Eligibility and authority
You may use NewAxiom only if you are legally able to enter into a binding agreement and are authorized to act on behalf of yourself or your organization, where applicable. NewAxiom is intended for business use.
3. Accounts and access
You are responsible for account credentials, account security, and activity under your accounts. You must provide accurate account information and keep it reasonably current. NewAxiom may suspend or restrict access for unauthorized use, security risk, non-payment, or violation of these Terms.
4. Subscriptions, billing, renewals, and payment processing
Starter, Growth, and Pro are self-serve subscription plans offered through Stripe checkout unless otherwise stated. Enterprise is sold through a separate sales process. Self-serve paid plans are billed monthly in advance unless otherwise stated. Subscriptions renew automatically until cancelled. Enterprise plans, implementation services, onboarding, premium support, managed pricing support, or other add-ons may be subject to separate checkout selections, order forms, statements of work, or written agreements. Payments are processed by Stripe or another payment processor we may use from time to time. NewAxiom does not store full payment card numbers. If a payment fails, is reversed, is disputed, remains unpaid, or cannot be confirmed, NewAxiom may suspend or restrict access until the account is brought current. Some payment methods, including bank debit or Canadian pre-authorized debit, may take additional time to confirm. NewAxiom may wait for payment confirmation before activating or continuing paid access. Fees are non-refundable except where required by law or where NewAxiom agrees otherwise in writing.
5. Taxes
Prices do not include applicable taxes unless expressly stated. You are responsible for applicable taxes, duties, and government charges, except for taxes based on NewAxiom's income.
6. Managed SKUs and plan limits
Pricing, feature access, and service scope may depend on managed SKU limits and plan entitlements. Managed SKUs are unique products actively imported, repriced, quoted, analyzed, or forecasted during the applicable period. If usage exceeds plan limits, NewAxiom may require a plan change or updated commercial terms.
7. Pricing outputs and decision support
NewAxiom outputs, recommendations, calculations, analyses, and generated pricing artifacts are decision-support tools only. They do not replace your internal review, approvals, controls, or judgment.
8. Customer responsibility for business decisions
You remain solely responsible for final prices, quotes, margin and discount decisions, tax treatment, regulatory compliance, contract terms, and all business decisions made using or informed by NewAxiom.
9. Customer data accuracy and completeness
You are responsible for the accuracy, completeness, legality, and timeliness of all data, files, imports, mappings, and instructions provided to NewAxiom. NewAxiom is not responsible for outcomes caused by missing, incorrect, stale, or inconsistent customer data.
10. No professional advice
NewAxiom does not provide legal, tax, accounting, financial, investment, or other professional advice. You are responsible for obtaining independent professional advice appropriate to your business and jurisdiction.
11. Connectors and third-party permissions
If you connect third-party systems, you are responsible for authorizing access, maintaining required permissions, and ensuring you have rights to transfer and process that data. You are responsible for connector credentials and permission scopes you grant.
12. Add-ons, implementation, and managed services
Onboarding, implementation, priority support, managed pricing support, custom workflow design, connector setup services, and other add-ons may be offered separately. Such services may require separate order forms, statements of work, or written commercial terms.
13. Beta and early-access features
Beta, preview, pilot, and early-access features may be incomplete, may change at any time, and may be discontinued without notice. These features may have reduced support, availability, or functionality.
14. Customer data ownership
As between you and NewAxiom, you retain ownership of customer data you submit to the service. You grant NewAxiom the rights necessary to host, process, transmit, secure, and otherwise use that data to provide, maintain, and improve the service and meet legal obligations.
15. User data, backups, and records
NewAxiom may maintain backups or provider-managed recovery options for operational resilience, but backup and recovery processes are not a substitute for your own records. You are responsible for maintaining appropriate copies of data, exports, reports, and records required for your business, accounting, legal, or operational needs.
16. Acceptable use
You must not misuse the service, including by attempting unauthorized access, interfering with service operation, uploading malicious code, violating third-party rights, or using the service in violation of applicable laws or regulations.
17. Availability and service changes
NewAxiom may update, improve, modify, suspend, or discontinue parts of the service from time to time. NewAxiom does not guarantee uninterrupted, error-free, or always-available operation. Features and limits may vary by plan and may change over time.
18. Website, pricing, and feature information
Website, pricing, feature, and product information may occasionally contain errors, omissions, outdated information, or availability changes. NewAxiom may correct or update information at any time, including pricing, plan details, feature descriptions, screenshots, and availability.
19. Product images, examples, and capabilities
Product screenshots, interface images, examples, demo data, illustrations, and workflow descriptions on the NewAxiom website are provided for general informational and promotional purposes. They may show sample data, representative workflows, planned functionality, beta features, or design concepts. Actual product appearance, availability, features, outputs, integrations, and performance may vary by plan, configuration, customer data, implementation status, and ongoing product development. NewAxiom may modify, add, or remove features over time.
20. Third-party services
NewAxiom may integrate with or rely on third-party services, including hosting, analytics, communication, and payment processing providers. NewAxiom is not responsible for third-party services except as required by law.
21. Disclaimers and no guaranteed outcomes
The service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. NewAxiom does not guarantee specific outcomes, revenue increases, margin improvement, quote conversion, demand outcomes, operational savings, uninterrupted service, or error-free operation.
22. Indemnification
You agree to defend, indemnify, and hold harmless NewAxiom Systems Inc. from and against claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising from or related to your use of the service, your customer data, your violation of these Terms, your violation of applicable law, your infringement or misappropriation of third-party rights, or your unauthorized connection to or use of third-party systems.
23. Limitation of liability
To the fullest extent permitted by law, NewAxiom will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. To the fullest extent permitted by law, NewAxiom's aggregate liability arising out of or relating to the service, these Terms, or any related claim will not exceed the lesser of: (a) the amount paid by you to NewAxiom for the service in the twelve months preceding the event giving rise to the claim; or (b) CAD $5,000. These limitations apply even if NewAxiom has been advised of the possibility of such damages, and even if a remedy fails of its essential purpose, to the fullest extent permitted by law.
24. Termination
You may stop using the service at any time. NewAxiom may suspend or terminate access for Terms violations, non-payment, security risk, legal risk, or misuse. Provisions that should survive termination will survive, including fees owed, disclaimers, liability limits, and governing law.
25. Dispute resolution
Before starting arbitration or court proceedings, the parties will first attempt to resolve any dispute through good-faith informal negotiations for at least 30 days after one party gives written notice of the dispute to the other. If the dispute is not resolved through informal negotiations, the dispute will be resolved by binding arbitration, except where prohibited by law or where either party seeks injunctive relief, payment collection, or other remedies that may be pursued in court. Arbitration will take place in Vancouver, British Columbia, Canada, will be conducted in English, and will be decided by one arbitrator. Nothing in this section prevents either party from seeking urgent injunctive or equitable relief in a court of competent jurisdiction.
26. Governing law and venue
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. For disputes that may be brought in court, the parties submit to the courts located in British Columbia, Canada, unless applicable law requires otherwise.
27. Changes to these Terms
NewAxiom may update these Terms from time to time. If material changes are made, NewAxiom may provide notice by updating this page, through the website, by account notification, or by other reasonable means. Continued use after updated Terms take effect constitutes acceptance of the revised Terms.
